Web Development Terms and Conditions

By accepting the Terms and Conditions set forth for our Websites, the User agrees to the following

  1. All content to be provided by User in a timely manner so as not to prolong the development of the website. Should the content not be provided within 8 weeks (2 months) of accepting the terms and conditions, additional charges of $84 will be billed per hour.
  2. WOWebsites is going to build your website based on your chosen package. Any additional features and components and plugins that require development or any changes not included in the package will be billed separately to the User.
  3. The development of the website begins when we have atleast 75% of your content including photos, graphics, content. The remaining content should be provided to us within 2 weeks (at the most) from the start of development.
  4. WOW LLC reserves the right to defer project deadlines if materials are not being submitted on time.
  5. WOW LLC reserves the right to decide on meta data generation and elements on the landing pages, for packages that include either or both
  6. WOW LLC reserves the right to use the completed website for promotional use as a whole but never to use images or text provided by User, separately
  7. User must provide prompt payments for the payment plans or additional interest can be incur if the payment is delayed. Payment is due within 7 days of receipt of the invoices. Accepted payments are credit cards, checques, paypal and bank transfers.
  8. If at any point in the project the User decides not to proceed with completing the website, WOW LLC will not refund and will still be able to bill User based on where the project is at. WOW LLC reserves the right to bill the client the full price of the website if and when the client has used up a considerable amount of development time.
  9. A user admin and password shall be provided to the User to access the CMS of the website but it is understood that if the website is accidentally broken or ruined, WOW LLC reserves the right to bill the client for additional work hours to put it back together.
  10. User must not share the username and password of the CMS and must protect it. If additional members require access, User must request for separate access and they can create it themselves.
  11. WOW LLC reserves the right to maintain a footer link below the auxiliary navigation bar, which reads, “White Oak Websites”
  12. User shall identify the point person from the Company / Organization who will provide all the materials and get all required approvals for the project to continue as smoothly as possible
  13. Once User is managing the website, maintenance for the website is billed at $84 / hour. This rate is our maintenance and support rate and can increase without prior notification.
  14. The User assumes responsibility for all collections of legal fees necessitated by default in payment
  15. Until final payment is received, WOW owns the website and any programming files associated with it. Once the project has been fully paid the ownership is transferred to the User
  16. The User represents that all submitted materials including logos, trademarks, photos, illustrations, audio, video and written content are owned by the User or the User has received explicit permission for use and does not violate the US copyright laws. User also received permission from all individuals photographed to be shown on the web. Any names and contact information placed on the website also have been provided with consent from each individual. Client agress to indemnify and hold WOW LLC harmless against all claims, including but not limited to claims of copyright or trademark infringement, violations of the rights of privacy or defamation, arising out of use of the work.
  17. This terms and agreement constitutes the sole agreement between WOW LLC and User and hereby voids any prior agreements, written or verbal. This agreement may be amended in writing by both parties at any time.
  18. The User is solely responsible for compliance with federal or state laws regarding any ecommerce work conducted through their webstie and will hold harmless WOW LLC and subcontractors from any claim, causes of action, penalty tax and / or tariff arising from clients use of ecommerce.
  19. The User understands that WOW LLC has no control over the functionality or availability of website due to the actions of inaction of hosting server, email server, credit card processing, online banking and nay other business services the client uses to transact business over the Internet outside of WOW LLC. WOW LLC makes no representation, warranties or guarantees for any recommendations of other Internet business partners
  20. WOW LLC will make every good-faith effort to test all elements of the website thoroughly and make all ncessary corrections as a result of such testing prior to handing over the deliverables to the User. Upon receipt of the website, the User shall either accept the website and make the final payment set forth herein or provide WOW LLC with written notice of any corrections to be made and a suggested date for completion, which should be mutually acceptable to both WOW LLC and User
  21. These terms constitute the sole agreement between WOW LLC and User and hereby voids any prior agreements, this agreement maybe amended, in writing, by both parties at any time
  22. WOW LLC makes no representations or guarantee as to the amount of traffic to the Users site or interest generated in the User’s site. WOW LLC makes no representations and does not guarantee an increase in User sales, nor does WOW LLC. WOW LLC will use their best efforts to perform under the contract, and makes no representation or guarantee that the site will be accessible by all browser and operating systems.
  23. The User agrees that the User is solely responsible for compliance with federal and/or state laws regarding any electronic commerce conducted through their website and will hold harmless WOW and her subcontractors from any claim, causes of action, penalty, tax, and/or tariff arising from the Client’s use of electronic commerce.
  24. WOW LLC understands that they will be working with confidential User information and will only release this information to parties directly involved in website creation. User authorizes WOW LLC to release information to third parties requiring access for site creation. This includes, but is not limited to, website and email address user ids and passwords, trade information, and banking information should the User request online shopping. Upon website completion, User will change any banking passwords WOW LLC has had access to. If User chooses not to retain WOW LLC for website maintenance, Client will change ftp, email, and any other passwords WOW LLC has had access to. User will hold WOW harmless should breach of security occur if User has not changed business passwords.
  25. This Agreement shall be governed by the laws of the state of Virginia and shall be construed in accordance therewith.
